Terms of Service — Zevko

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Zevko, a procurement software service operated by GVIX Labs SRL, incorporated in Romania, European Union ("we", "us", "our").

By creating an account or using Zevko, you agree to these Terms. If you do not agree, do not use the service.

2. The service

Zevko is a procurement platform that allows organisations to create and manage Requests for Quotation (RFQs), collect supplier quotes via shareable links, compare responses, and generate purchase orders.

Zevko is provided for business use only. By using the service, you confirm that you are acting on behalf of a business or other organisation, and not as a consumer.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

3. Accounts and organisations

You must create an account to use Zevko. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Each subscription is tied to a single organisation. You may invite team members up to the number of seats included in your plan. You may not share your account with users outside your organisation.

You must provide accurate information when creating your account. Accounts found to be using false information may be terminated.

4. Acceptable use

You agree not to use Zevko to:

Violate any applicable law or regulation
Send unsolicited communications or spam to suppliers
Upload or transmit malicious code or harmful content
Attempt to gain unauthorised access to other users' data
Reverse engineer, copy, or resell any part of the service
Use the service in a way that could damage, overload, or impair our infrastructure

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Supplier invitations

When you invite a supplier to respond to an RFQ, you are responsible for ensuring you have a legitimate business reason to contact them. You must not use Zevko to contact individuals or companies without a pre-existing business relationship or their consent.

Suppliers who receive an invitation have not agreed to these Terms — they are your business contacts, not our users. You are responsible for your relationship with them.

6. Your data

You retain ownership of all data you create or upload to Zevko — RFQs, supplier responses, purchase orders, and any other content. You grant us a limited licence to store and process that data solely to provide the service.

We do not claim ownership of your data and will not use it for any purpose other than operating and improving Zevko.

7. Pricing and payment

Zevko offers a free plan with usage limits, and a paid Pro plan at EUR 39 per month per organisation. The limits of each plan are shown in the app under Settings, and in your organisation's billing section.

Pro subscriptions renew automatically each month until cancelled. Payments are processed by Stripe; we do not store your card details. Prices are exclusive of any taxes that may apply.

You may cancel at any time. Your subscription remains active until the end of the billing period you have already paid for, after which the organisation returns to the free plan. Payments already made are non-refundable.

If an organisation returns to the free plan while it has more team members than that plan includes, no data is deleted: members beyond the included seats keep read access, and full access is restored on upgrade.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers. If you do not agree to a price change, you may cancel before the new pricing takes effect.

8. Intellectual property

Zevko, including its design, code, branding, and content, is owned by GVIX Labs SRL and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written consent.

9. Disclaimer of warranties

Zevko is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or free from security vulnerabilities.

Zevko is a tool to assist procurement decisions — it does not constitute legal, financial, or commercial advice. All procurement decisions remain your responsibility.

10. Limitation of liability

To the maximum extent permitted by applicable law, Zevko shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, Zevko.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may cancel your account at any time by contacting us at contact@gvix.xyz. Upon cancellation, your data will be permanently deleted within 30 days.

We may terminate or suspend your account if you breach these Terms, with or without prior notice depending on the severity of the breach.

12. Governing law

These Terms are governed by the laws of Romania. Any disputes arising from these Terms or your use of Zevko shall be subject to the exclusive jurisdiction of the courts of Romania.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of significant changes by email at least 14 days before they take effect. Continued use of Zevko after that date constitutes acceptance of the updated Terms.
